GridOne Terms of Service

This Agreement is entered into between the user (hereinafter referred to as "User" or "You") and GridOne. GridOne will provide services to you in accordance with the terms set forth in this Agreement. "GridOne" refers to GridOne or its operating affiliates that may be involved in providing related services. If you do not agree with any of the terms set forth in this Agreement or any subsequent amendments to the terms of this Agreement, please do not use the related services provided by GridOne. Your use of the services will be deemed as your full acceptance of all terms of this Agreement. Please carefully read all terms and conditions of this Agreement, especially those terms highlighted in bold.

If you are a minor, please read and determine whether to agree to this Agreement under the guidance of your legal guardian, paying special attention to the provisions regarding minors. The exercise and performance of the rights and obligations under this Agreement by a minor shall be deemed to have obtained the guardian's approval.

1. Service Description

1.1 GridOne provides you with services including but not limited to the following:

1.1.1 All terminal client products directly owned or operated by GridOne, including but not limited to tablets, mobile phones, etc.;

1.1.2 Servers and network storage space directly owned or operated by GridOne;

1.1.3 Various value-added services provided by GridOne to you;

1.1.4 Other technologies and services provided by GridOne to you.

1.2 The services provided by GridOne are limited to use within the GridOne platform. Any act of separating the services provided by GridOne from the GridOne platform through malicious cracking or other illegal means does not constitute services provided by GridOne under this Agreement. All consequences arising therefrom shall be borne by the actor, and GridOne reserves the right to pursue the legal liability of the actor in accordance with the law.

1.3 The methods officially announced by GridOne constitute the sole legitimate means of registering, logging in, downloading the client (including but not limited to iOS and other smart platforms), and using GridOne services. Any GridOne services obtained by users through any other means, channels, or methods (including but not limited to accounts, client downloads, etc.) are illegally obtained. GridOne does not recognize their validity, and upon discovery, GridOne has the right to immediately take actions such as deletion, clearing to zero, or account banning. All adverse consequences arising therefrom shall be borne by the user. Users should properly safeguard their accounts and passwords, strengthen password security, and guard against account leakage or theft. GridOne shall not bear any compensatory liability for losses caused by the leakage or theft of user accounts.

1.4 Users understand and acknowledge that GridOne enjoys the following rights, and the exercise of such rights by GridOne does not constitute a breach of contract, and users shall not pursue or exempt GridOne from relevant legal liability: Users have the right to use their legally obtained GridOne accounts and the account-related coins, identifiers, gifts, etc., on a long-term basis, but users confirm that they only have the right to use the aforesaid services and products. The ownership and intellectual property rights of the aforesaid services and products, and their derivatives, belong to GridOne (except for ownership of physical products obtained by users through legitimate channels). GridOne has the right to determine the recovery date at its own discretion based on actual circumstances within the maximum scope permitted by law, without the need to separately notify users or obtain their consent.

1.5 GridOne has the right to announce to users in advance (including but not limited to pop-up announcements, homepage announcements on the website, and system messages) to modify, replace, or upgrade any software related to GridOne services. If users do not agree to or do not accept the modification, replacement, or upgrade of GridOne-related software, please directly refuse, stop, or cancel the use. Otherwise, users shall be deemed to have agreed to and accepted the modification, replacement, or upgrade of GridOne-related software, and such consent and acceptance shall still be governed by this Agreement.

1.6 The term "User" as used in this Agreement includes both registered users and unregistered users. Any user who has not registered for GridOne's products and/or services shall automatically become an "unregistered user" of GridOne from the time they download or install GridOne's products or use GridOne's services.

2. User Registration

You shall maintain the confidentiality and security of your account and password. You shall be fully responsible for all activities conducted by anyone using your account and password. GridOne is unable to distinguish between lawful and unlawful use of your account and password or unauthorized use thereof, and therefore GridOne shall not assume any liability. At the same time, you agree and undertake to:

2.1 Immediately and effectively notify GridOne when your account or password is used without authorization or when any security issue occurs;

2.2 Securely log out of your account each time after logging in to GridOne or using related services;

2.3 Agree to receive notification information and other relevant information sent by GridOne via email, client, or other lawful means;

2.4 Undertake not to engage in the following conduct when registering or using a GridOne account:

2.4.1 Intentionally using another person's information to register a GridOne account for yourself;

2.4.2 Registering a GridOne account in another person's name without their lawful authorization;

2.4.3 Stealing or misappropriating another person's GridOne account, membership identification, etc.;

2.4.4 Using insulting, defamatory, pornographic, political, or other terms that violate laws, morals, and public order and good customs to register a GridOne account;

2.4.5 Maliciously exploiting website vulnerabilities through legitimate or illegitimate means for the purpose of illegally possessing GridOne-related service resources;

2.4.6 Other content that infringes upon the lawful rights and interests of others.

2.5 You hereby agree that GridOne has the right to prohibit registration and/or ban accounts of users who violate the above provisions.

2.6 You understand and are aware that you may use your GridOne account to log in to all products within the GridOne ecosystem provided by the GridOne App and its affiliates.

3. Content on GridOne

3.1 Any information, materials, text, software, music, audio, photographs, graphics, video, messages, or other materials (hereinafter referred to as "Content") transmitted through services provided by GridOne by means of uploading, posting, sending email, or any other means, whether transmitted publicly or privately, shall be the responsibility of the content provider or uploader.

3.2 GridOne cannot pre-identify and reasonably control content uploaded through GridOne services. Therefore, you are aware in advance that when using GridOne services, you may encounter content that you find unpleasant, uncomfortable, or objectionable, and you agree to waive any right of recourse against GridOne arising therefrom. However, GridOne has the right to stop transmitting any of the aforesaid content in accordance with the law and take corresponding measures, including but not limited to suspending your continued use of part or all of GridOne services, keeping relevant records, and reporting to the relevant authorities.

3.3 You shall independently bear legal liability for your conduct on GridOne. If your use of GridOne services does not comply with this Agreement, GridOne has the right to independently take action and deactivate your account without prior notice and/or without obtaining user consent. If you disseminate and spread reactionary, pornographic, or other information that violates national laws and regulations on GridOne, GridOne's system records may serve as evidence of your violation of relevant laws.

4. Rules of Use

4.1 When using GridOne services, users shall comply with the following laws and regulations:

4.1.1 Law of the People's Republic of China on Guarding State Secrets

4.1.2 Copyright Law of the People's Republic of China

4.1.3 Regulations of the People's Republic of China on the Safety Protection of Computer Information Systems

4.1.4 Regulations on the Protection of Computer Software

4.1.5 Provisions on the Administration of Internet Electronic Bulletin Services

4.1.6 Regulations on the Protection of the Right to Disseminate Information via Information Networks

4.1.7 Cybersecurity Law of the People's Republic of China

4.1.8 Other laws and regulations related to computers and the internet.

4.2 Under any circumstances, if GridOne reasonably believes that a user's conduct may violate the above laws and regulations, it may terminate the provision of services to that user at any time without prior notice.

4.3 Users are prohibited from engaging in the following conduct:

4.3.1 Producing, uploading, copying, transmitting, or disseminating content that opposes the fundamental principles established by the Constitution, endangers national security, divulges state secrets, subverts state power, undermines national unity, damages national unity, harms national honor and interests, incites ethnic hatred or ethnic discrimination, undermines national unity, undermines national religious policies, promotes cults and feudal superstitions, is obscene, pornographic, involves gambling, violence, murder, terror, or abets crimes, insults or defames others, infringes upon the lawful rights and interests of others, or other content prohibited by laws and administrative regulations, or other objectionable content including but not limited to information, materials, text, software, music, photographs, graphics, messages, or other materials;

4.3.2 Harming minors in any way;

4.3.3 Impersonating any person or organization, or falsely claiming or causing others to mistakenly believe an association with any person or organization;

4.3.4 Forging headers or otherwise manipulating identification information to cause others to mistakenly believe that the content is transmitted by GridOne;

4.3.5 Uploading, posting, sending via email, or otherwise transmitting content that one does not have the right to transmit (e.g., internal materials, confidential materials);

4.3.6 Uploading, posting, sending via email, or otherwise transmitting content that infringes upon any person's patents, trademarks, copyrights, trade secrets, or other intellectual property rights;

4.3.7 Uploading, posting, sending via email, or otherwise transmitting advertising materials, promotional materials, "junk mail," etc.;

4.3.8 Stalking or otherwise harassing others;

4.3.9 Uploading, posting, sending via email, or otherwise transmitting materials containing software viruses or other computer code, files, or programs designed to interfere with, destroy, or limit the functionality of any computer software, hardware, or communications equipment;

4.3.10 Interfering with or disrupting GridOne services or servers and networks connected to GridOne services, or failing to comply with the provisions of this Agreement;

4.3.11 Intentionally or unintentionally violating any relevant Chinese laws, regulations, rules, ordinances, and other legally binding norms;

4.3.12 Without GridOne's prior explicit written consent, obtaining the platform's services, content, or data by any means (including but not limited to robot software, spider software, crawler software, and any other automated programs, scripts, or software) and for any reason, whether by oneself or through commissioning or assisting others.

5. Disclaimer

5.1 GridOne does not provide guarantees for the following matters (including but not limited to):

5.1.1 Although the client software and other software provided by GridOne have been tested by GridOne, due to the inherent limitations of technology, GridOne cannot guarantee full compatibility with other software, hardware, or systems. If incompatibility occurs, users may report the situation to GridOne to obtain technical support.

5.1.2 The use of GridOne services involves network services, which may be affected by unstable factors at various stages. Due to force majeure, hacker attacks, system instability, network interruptions, user shutdowns, communication line failures, and other reasons, GridOne services may be interrupted or fail to meet user requirements. GridOne does not guarantee that the services are suitable for users' usage requirements.

5.1.3 Since the client software and other software provided by GridOne can be downloaded and distributed through network channels, GridOne cannot guarantee whether software related to GridOne services downloaded from unofficial sites not designated by GridOne or obtained through channels not designated by GridOne is infected with computer viruses or hides disguised Trojan horse programs or other hacker software. GridOne shall not bear any legal liability for direct or indirect damages or compensation suffered by users as a result.

5.1.4 GridOne makes no guarantees regarding the security, reliability, timeliness, and performance of GridOne services or products.

5.2 GridOne shall not be liable for any direct, indirect, incidental, derivative, or punitive damages for loss of profits, business reputation, data, or other tangible or intangible losses caused by the following reasons:

5.2.1 The inability to use all or part of GridOne services;

5.2.2 Any products, materials, or services purchased or obtained through GridOne services;

5.2.3 Unauthorized use or modification of user data;

5.2.4 Other matters related to GridOne services.

5.3 Users shall properly safeguard their accounts and passwords, strengthen password security, and guard against account leakage or theft. GridOne shall not bear any compensatory liability for losses caused by the leakage or theft of user accounts. GridOne shall not bear compensation or other liability for the loss or reduction of user accounts, account property, etc., caused by reasons not attributable to GridOne, such as communication line failures of telecommunications and CNC departments, network or computer failures, system instability, force majeure (e.g., server crashes).

5.4 Users understand and agree to independently choose to download and use GridOne services for free at their own risk, including but not limited to the user's conduct during the use of GridOne services and all consequences arising from the use of GridOne services. Users shall bear full responsibility for any damage to computer systems or loss of data caused by downloading or using GridOne services.

5.5 GridOne shall not assume any legal liability for users who cannot recover lost or reduced accounts or account property due to inaccurate authentication information.

6. Changes, Interruptions, and Termination of Services

6.1 You understand and agree that GridOne may change the service content based on adjustments in business strategy and may also interrupt, suspend, or terminate services.

6.2 You understand and agree that if GridOne undergoes a merger, division, acquisition, or asset transfer, GridOne may transfer the relevant assets under this service to a third party; GridOne may also, upon unilateral notice to you, transfer part or all of the services and corresponding rights and obligations under this Agreement to a third party for operation or performance.

6.3 You understand and agree that if you violate the provisions of relevant laws and regulations, violate this Agreement, or other agreements on the GridOne platform, GridOne has the right to unilaterally interrupt or terminate the provision of services to you without prior notice.

6.4 After GridOne terminates the provision of services to you, it has the right to delete your personal information or anonymize it in accordance with the requirements of applicable laws, and also has the right to continue to retain other content and information retained by you on our platform in accordance with the periods and methods prescribed by law.

7. Account Cancellation

7.1 Users may cancel their accounts on their own through user-side settings (except as otherwise provided by relevant laws and regulations or by this Agreement and various site rules). Account cancellation will be completed within three working days.

7.2 Special Reminder: After canceling your GridOne account, you will no longer be able to log in to and use all products and services of GridOne and its affiliated companies, as well as services cooperating with third parties within the products and services, using this account. GridOne will also simultaneously terminate the provision of our various products and services to you under this account. This will inevitably cause inconvenience for your after-sales rights protection. Furthermore, once the cancellation of a GridOne account is completed, it cannot be restored. Please carefully consider before cancelling.

7.3 If you are certain that you need to cancel your GridOne account, you have fully understood and confirmed that the UID will still exist after account cancellation, but you will no longer have account-related rights and interests, including but not limited to:

7.3.1 After account cancellation, you will no longer be able to log in to and use all products and services of GridOne using this account;

7.3.2 After account cancellation, GridOne has the right to no longer provide users with any services related to the account;

7.4 Before you apply to us for cancellation of your GridOne account, in order to protect the security of your account and property rights and interests, you need to first check and ensure that the account you apply to cancel simultaneously meets the following conditions, including but not limited to:

7.4.1 The account was registered by the user through official channels, complies with this Agreement and relevant regulations, and is your own member account;

7.4.2 You follow the cancellation process required by customer service;

7.4.3 The account is in a secure state, including: it is not in the process of applying for a password recovery or mobile phone number change; there are no unprocessed complaints or reports; and no other unsafe/abnormal states exist;

7.4.4 If the account had subscribed to "continuous monthly/quarterly/annual" services, you have already canceled such services on your own;

7.4.5 Other conditions that should be satisfied.

8. Privacy Policy

8.1 GridOne places great importance on protecting users' personal information and personal privacy. Personal information refers to various types of information recorded electronically or otherwise that can be used, alone or in combination with other information, to identify a specific natural person or reflect the activities of a specific natural person. When you download, install, launch, browse, register, log in to, or use GridOne's products and/or services, GridOne will process and protect your personal information in accordance with the GridOne Privacy Policy published on the platform. We therefore hope that you will carefully read and fully understand the full text of the GridOne Privacy Policy and, when necessary, make choices you deem appropriate in accordance with the guidance of the GridOne Privacy Policy.

9. Governing Law and Jurisdiction

9.1 The validity, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. If any provision of these terms conflicts with the current laws of the People's Republic of China and becomes partially invalid, the validity of the remaining provisions shall not be affected. Both parties agree that, when resolving disputes, the latest version of the GridOne User Agreement to which you have agreed shall prevail.

10. Modification and Notification of the Agreement

10.1 GridOne has the right to modify this Agreement based on changes in national policies, technical conditions, product features, and other needs, and to publish the modified Agreement.

10.2 Once the aforesaid content is officially published, GridOne will remind you of the updated content in an appropriate manner (including but not limited to pop-up windows, email, internal messages, website announcements, etc.) so that you may timely understand the latest version of this Agreement.

10.3 You are aware that the title of this Agreement and the headings of each chapter are provided for convenience and readability only. Since this Agreement is displayed in multiple locations on our platform, it may take some time to complete the renaming of all agreements. During this period, the coexistence of both names does not affect the meaning or interpretation of any provisions in the body text.

10.4 The modified content will constitute an inseparable part of this Agreement, and you shall comply with it accordingly. If you have objections to the modified Agreement, please immediately stop logging in to and using GridOne and related services. If you log in to or continue to use GridOne and related services, you shall be deemed to have fully read, understood, and accepted the updated Agreement and to be willing to be bound by the updated Agreement.
